FoodyePay - Terms of Service

1. Acceptance of Terms

By accessing or using the FoodyePay platform, including our application and related services (the “Service”), you agree to be bound by these Terms of Service (“Terms”) and any future updates. If you do not agree to these Terms, you may not access or use the Service.

2. Nature of the Service

FoodyePay is a platform built on blockchain technology designed to provide payment and rewards solutions for the dining industry. The native utility token of the platform, Foodye Coin (FOODY), is intended solely for on-platform incentives and feature access. It does not represent any equity, debt, or promise of dividends. We do NOT provide investment advice, brokerage, custody, or exchange services.

3. Accounts & Eligibility

You are responsible for ensuring that your use of the Service is in compliance with all laws, rules, and regulations applicable to you in your jurisdiction. The Service is not intended for use by minors unless supervised by a legal guardian.

4. Wallet & Key Security

You are solely responsible for the security of your digital wallet, private keys, passwords, and any other security credentials associated with your use of the Service. FoodyePay does not have access to your private keys. We are unable to recover or restore access to your account if you lose your private keys.

5. Intellectual Property Rights

All rights, title, and interest in and to the Service, including our websites, applications, logos, and all related content, features, and functionality (collectively, the "FoodyePay IP"), are and will remain the exclusive property of FoodyePay Technology, Inc. and its licensors. The FoodyePay IP is protected by copyright, trademark, and other laws of both the United States and foreign countries. You agree not to copy, modify, create derivative works of, publicly display, publicly perform, or reverse engineer any part of the FoodyePay IP.

6. Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy, which is incorporated by reference into these Terms. You must read and agree to the Privacy Policy to use our Service.

7. Third-Party Services

The Service may integrate with or provide links to third-party services, such as Coinbase Onramp, Supabase, Google Maps, and Twilio. These services are governed by their own respective terms. Any transactions you conduct through such third-party services are between you and the applicable third-party provider.

8. Fees and Payments

FoodyePay reserves the right to charge fees for access to or use of certain features of the Service ("Fees"). You agree to pay all applicable Fees as described on the Service in connection with such features. All Fees are non-refundable, except as required by law. We reserve the right to change our Fee schedule at any time and will provide you with advance notice of any Fee changes.

9. User Conduct

You agree not to engage in any of the following prohibited activities: (a) fraudulent activities or abuse of the rewards program; (b) attacking, attempting to reverse engineer, or otherwise interfering with the Service's systems; (c) engaging in any activity that is illegal, including but not limited to money laundering or terrorist financing.

10. Rewards and Tokens

The Service may distribute a variable amount of FOODY rewards based on user activity. The algorithm, weight, and policies for reward distribution may be adjusted at any time at our sole discretion. Rewards have no guaranteed monetary value and may fluctuate or be discontinued.

11. Eligibility and Geographic Restrictions

You represent and warrant that you are not a resident of any jurisdiction subject to United States embargoes or sanctions, including but not limited to, Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions of Ukraine. You are not permitted to use the Service if you are located in, under the control of, or a national or resident of any such sanctioned jurisdiction.

12. Risk Notice

You acknowledge that blockchain transactions are irreversible and that you are aware of the inherent risks associated with digital assets, including but not limited to, technological vulnerabilities, network risks, and smart contract risks. The value of digital assets can be volatile. Regulatory changes may impact token utility or accessibility.

13. Specific Terms for FoodyeMenuNFT

The Service may in the future include access to the FoodyeMenuNFT platform or similar features, which allow users to create, manage, and interact with non-fungible tokens ("NFTs") and other digital assets. Should you use such features, you acknowledge and agree that: (a) The ownership and intellectual property rights of any NFT created through the platform remain with the original creator (e.g., the restaurant); (b) FoodyePay acts solely as a technology platform and makes no warranty as to the value, legality, or authenticity of any NFT; and (c) FoodyePay is not responsible for any transactions or losses that occur on secondary markets.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FoodyePay Technology, Inc. or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability for any claims arising out of these Terms shall not exceed the greater of one hundred U.S. dollars ($100) or the amount of fees (if any) you paid to us in the preceding three (3) months.

16. Indemnification

You agree to defend, indemnify, and hold harmless FoodyePay Technology, Inc., its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any law, rule, or regulation, or the rights of any third party.

17. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. Most user concerns can be resolved quickly by contacting us at support@foodyepay.com. In the unlikely event that our support team is unable to resolve a complaint you may have, you and FoodyePay Technology, Inc. agree to resolve those disputes through binding arbitration or small claims court instead of in courts of general jurisdiction. Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted.

18. Modifications to Terms

We may modify these Terms at any time by posting the revised version on this page and updating the "Last Updated" date. By continuing to use the Service after the changes become effective, you agree to be bound by the revised Terms.

19. Termination

We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for any reason, including for any violation of these Terms.

20. Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
